By accessing and using the website of Wasatch Billing Solutions or entering into an agreement for our services, you, the client ("Client"), agree to be bound by these Terms of Service ("Terms"). These Terms govern the use of our website, services, and all related business interactions between Wasatch Billing Solutions and the Client. If you do not agree to these Terms, you are not authorized to access or use our website or services. By utilizing any services or continuing to engage with us, you consent to these Terms and agree to follow them. We reserve the right to modify or update these Terms at any time, with any changes becoming effective immediately upon posting on our website. We encourage you to review these Terms periodically to ensure your continued compliance with them. If you continue to use our website or services after such modifications, it will constitute your acceptance of the changes. Wasatch Billing Solutions provides a range of billing and revenue cycle management services, including but not limited to medical billing and claims submission, credentialing and recredentialing, accounts receivable (A/R) management, verification of benefits (VOB), medical coding assistance, payment posting and reconciliation, and reporting and analytics. These services are tailored for healthcare providers across a variety of medical disciplines, ensuring that their billing processes are efficient, compliant, and optimized for timely reimbursement. As part of the services we provide, clients will be required to furnish accurate and complete information related to their healthcare practices, patients, insurance carriers, and any other relevant details needed to facilitate the services we offer. The Client is responsible for ensuring the completeness and accuracy of all documentation provided to us, as we rely on the information you supply to perform services effectively. If the Client fails to provide timely or accurate information, it may result in delays or disruptions in services, and Wasatch Billing Solutions will not be liable for any such issues. Wasatch Billing Solutions places a high priority on confidentiality, especially in the handling of Protected Health Information (PHI). We comply fully with HIPAA (Health Insurance Portability and Accountability Act) and the HITECH Act in all aspects of our operations. All PHI shared with us will be handled in strict accordance with applicable privacy laws. In cases where HIPAA-compliant communication is necessary, we require that the Client uses secure methods for transmitting sensitive patient data, including encrypted emails or secure file transfer protocols. Wasatch Billing Solutions will execute a Business Associate Agreement (BAA) with the Client to ensure the protection of PHI in accordance with HIPAA standards. This agreement will outline our mutual responsibilities for maintaining the confidentiality and security of any PHI that we may handle as part of our services. Our team is available to communicate with the Client through various methods, including email, phone, video calls, text messages, and SmartSheets, which are used to manage client accounts, track progress, and securely exchange documents. All communications related to PHI should only occur through secure and encrypted channels, in compliance with HIPAA guidelines. In terms of our service fees, Wasatch Billing Solutions operates on a variety of fee structures, depending on the services required. These fees may include flat-rate charges for specific services, such as billing, medical coding assistance, or credentialing. Alternatively, we may charge a percentage-based fee for our services, particularly when we assist with collections, based on the amount of successful claims or reimbursements generated. Service fees can also include a monthly fee or an as-needed fee for certain services like credentialing and recredentialing. The exact structure and rate will be agreed upon in the service contract signed by both parties. Payments for services are due in full within the timeframe agreed upon in the service agreement, which is generally within 30 days of the invoice date. We provide clients with the convenience of making payments online through the QuickBooks payment gateway, ensuring that the process is secure and straightforward. Late payments may incur a penalty fee, and Wasatch Billing Solutions reserves the right to suspend services until all overdue invoices are settled. We also understand the importance of providing transparency to clients, and therefore, regular reports and analytics will be provided to give clients visibility into their financial performance, the status of claims, and the overall effectiveness of their billing practices. These reports will help clients make informed decisions about their revenue cycle and improve the overall efficiency of their practice. Should any claims face delays, denials, or discrepancies, our team will work diligently to resolve these issues, keeping the client informed along the way. Clients should be aware that Wasatch Billing Solutions is not responsible for any issues that arise from claims that are rejected due to errors in the information provided by the Client, such as inaccurate patient information or insurance details. We cannot guarantee that claims will be reimbursed in full or processed without delay, as these are dependent on the payer’s policies and other external factors. To maintain the best possible relationship and ensure the smooth delivery of services, Wasatch Billing Solutions agrees to offer dedicated customer service to every Client. We assign designated representatives for each Client, who serve as the primary point of contact, ensuring that communication is streamlined, issues are handled promptly, and requests are addressed efficiently. These representatives are available to address any concerns or questions, and we guarantee that any urgent requests or concerns will be resolved within 24 hours. If either party wishes to terminate the services, either party may do so by providing written notice, as outlined in the service agreement. Upon termination, all outstanding invoices will be due immediately, and access to client data may be restricted. We also recommend that the Client retrieve any relevant information from our system within 30 days of termination. After this period, data will be archived or deleted per the agreement terms. Wasatch Billing Solutions maintains the right to terminate services immediately in cases of breach of contract, including but not limited to non-payment, fraudulent activities, or failure to comply with confidentiality and HIPAA standards. Clients will be notified of any such breach, and services will be suspended or terminated if deemed necessary. All intellectual property rights related to the content provided on the website or in connection with the services, including but not limited to logos, trademarks, designs, and proprietary software, are the property of Wasatch Billing Solutions. Clients may not copy, alter, distribute, or use any intellectual property of the Company without express written consent. In terms of legal matters, Wasatch Billing Solutions is not responsible for any indirect, incidental, special, or consequential damages arising out of or in connection with the use of our services. We do not guarantee any specific financial outcomes, as the performance of claims is subject to external factors like payer policies and timely information from the client. However, we strive to ensure that all claims are processed accurately, promptly, and efficiently. In the unlikely event that our services result in damages or losses, our liability will be limited to the amount paid by the Client for the services that directly caused the issue. By engaging with our services, the Client agrees to indemnify, defend, and hold harmless Wasatch Billing Solutions, its officers, employees, agents, and contractors from any claims, damages, or losses arising out of the Client’s use of the services, including any breaches of these Terms or violations of applicable laws. These Terms shall be governed by and construed in accordance with the laws of the state of Utah, without regard to conflict of law principles. Any disputes or claims that arise from these Terms shall be resolved through negotiation, and if necessary, through binding arbitration conducted in Utah, unless the parties agree otherwise. Wasatch Billing Solutions reserves the right to modify these Terms at any time. Any modifications will be effective upon posting, and you are encouraged to periodically review this page to ensure your continued compliance. By continuing to use our services after such modifications, you acknowledge your acceptance of the updated Terms.
